Terms of Service

1. Acceptance of Terms

By accessing or using Venture (“the Service”), operated by Venture (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, and all applicable laws and regulations. These Terms constitute a legally binding agreement between you and Venture.

If you are using the Service on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and “you” refers to both you individually and that entity.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service or by sending you an email. Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms.

2. Description of Service

Venture is a platform designed for startup founders to build in public, track their progress, and connect with other entrepreneurs. The Service includes, but is not limited to:

• Founder Profiles: Create and manage a public profile showcasing your background, bio, and social links
• Startup Listings: List your startups with descriptions, categories, logos, and website links
• Metrics Tracking: Record and display business metrics including MRR, ARR, customer counts, user counts, churn rates, and growth percentages
• Startup Updates: Post progress updates, milestones, and announcements about your ventures
• Discovery Features: Browse and discover other startups through our Discover, Trending, and Growth pages
• Community Features: Create and join communities, post discussions, and engage with other founders
• Social Interactions: Follow founders, bookmark startups, leave feedback and comments, and vote on posts
• Analytics: View statistics on profile views, startup views, likes, and follower growth
• Notifications: Receive alerts for follows, comments, likes, and other relevant activities

Venture is currently offered as a free service. We reserve the right to introduce paid features, subscription tiers, or premium services in the future, with appropriate notice to users.

3. Eligibility

To use Venture, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction, whichever is higher
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under the laws of your jurisdiction
• Not have been previously banned or removed from the Service for violations of these Terms

By using the Service, you represent and warrant that you meet all eligibility requirements. We reserve the right to request verification of your age or identity at any time.

4. User Accounts

4.1 Account Creation

To access certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate and complete
• Use a valid email address that you own or have authorization to use
• Create only one account per person (multiple accounts are prohibited)

4.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account, whether or not authorized by you
• Notifying us immediately at support@myventure.dev if you suspect unauthorized access to your account
• Ensuring your account information is secure and not shared with others

4.3 Account Termination

You may delete your account at any time through your profile settings. We reserve the right to suspend, disable, or delete your account at our sole discretion, with or without notice, for any reason including but not limited to violations of these Terms, suspected fraudulent activity, or extended periods of inactivity.

5. User Content

5.1 Definition

“User Content” refers to any content you submit, post, display, or otherwise make available through the Service, including but not limited to: profile information, startup descriptions, logos, images, metrics data, updates, comments, feedback, community posts, and any other materials.

5.2 Ownership

You retain all ownership rights in your User Content. Venture does not claim ownership of any User Content you submit to the Service.

5.3 License Grant

By posting User Content, you grant Venture a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Service and Venture's business operations, including for promoting and redistributing part or all of the Service.

5.4 Representations and Warranties

You represent and warrant that:

• You own or have the necessary rights, licenses, and permissions to post your User Content
• Your User Content does not infringe upon the intellectual property rights, privacy rights, publicity rights, or other legal rights of any third party
• Your User Content is accurate and not misleading (particularly regarding business metrics and claims)
• Your User Content does not violate any applicable law, regulation, or these Terms

6. Acceptable Use Policy

You agree NOT to use the Service to:

6.1 Prohibited Content

• Post false, misleading, or fraudulent information about your startups, metrics, or accomplishments
• Post content that is defamatory, obscene, abusive, threatening, harassing, or hateful
• Post content that promotes discrimination, bigotry, racism, or harm against any individual or group
• Post sexually explicit or pornographic content
• Post content that promotes illegal activities or substances
• Post content that infringes on intellectual property rights of others
• Post spam, advertisements, or unsolicited promotional content
• Post malware, viruses, or other harmful code

6.2 Prohibited Activities

• Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
• Create accounts for the purpose of deceiving other users or manipulating the Service
• Engage in any form of market manipulation, fake metrics reporting, or fraudulent business claims
• Harass, bully, stalk, intimidate, or abuse other users
• Collect or harvest user information without consent
• Use automated systems, bots, scrapers, or similar tools to access the Service without permission
• Attempt to gain unauthorized access to the Service, other user accounts, or computer systems
• Interfere with or disrupt the Service or servers/networks connected to the Service
• Circumvent any security measures or access controls
• Use the Service for any illegal purpose or in violation of any applicable laws
• Engage in any activity that could damage, disable, or impair the Service

6.3 Metrics Integrity

Venture provides tools to track and display business metrics. You acknowledge that falsifying metrics (MRR, customers, growth rates, etc.) constitutes fraud and may result in immediate account termination, removal of all your content, and potential legal action. All metrics you report should be accurate and verifiable.

7. Communities

Venture allows users to create and participate in communities. When using community features:

• Community creators are responsible for moderating their communities and enforcing community guidelines
• All posts and comments within communities must comply with these Terms and the community's guidelines
• Venture reserves the right to remove any community or community content that violates these Terms
• Community membership may be subject to approval by community administrators
• Voting on posts and comments should be done in good faith, not to manipulate visibility

8. Intellectual Property

8.1 Venture's Intellectual Property

The Service, including its original content (excluding User Content), features, and functionality, is owned by Venture and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. The Venture name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Venture. You may not use such marks without our prior written permission.

8.2 Feedback

If you provide us with any feedback, suggestions, or ideas regarding the Service (“Feedback”), you grant us an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right to use the Feedback in any manner and for any purpose, including to improve the Service and create other products and services.

9. Third-Party Services and Links

The Service may contain links to third-party websites, services, or content that are not owned or controlled by Venture. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

When you link your external accounts (Twitter, LinkedIn, GitHub) or share your startup's website, you acknowledge that interactions with these third-party services are governed by their respective terms and privacy policies.

10. Disclaimers

10.1 Service Provided “As Is”

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

10.2 No Warranty

Venture does not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Service will be accurate or reliable
• Any errors in the Service will be corrected
• The Service will meet your specific requirements

10.3 User Content Disclaimer

Venture does not endorse, verify, or guarantee the accuracy of any User Content, including startup information, metrics, or claims made by other users. Any reliance on User Content is at your own risk. We are not responsible for any decisions you make based on information obtained through the Service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VENTURE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content
• Any business decisions made based on information from the Service
• Loss of data, account information, or User Content
• Service interruptions, downtime, or data breaches

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO US, IF ANY, FOR USE OF THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless Venture and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Service, your User Content, or your violation of any third-party rights.

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

13.2 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at support@myventure.dev. We will attempt to resolve the dispute informally within 30 days.

13.3 Arbitration

If informal resolution is unsuccessful, any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Delaware, and judgment on the award may be entered in any court having jurisdiction.

13.4 Class Action Waiver

YOU AND VENTURE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14. DMCA and Copyright Policy

Venture respects the intellectual property rights of others. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please provide us with a written notice containing:

• A description of the copyrighted work you claim has been infringed
• A description of where the infringing material is located on the Service
• Your contact information (address, phone number, email)
• A statement that you have a good faith belief that the use is not authorized
• A statement, under penalty of perjury, that the information is accurate and you are the copyright owner
• Your physical or electronic signature

15. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and all associated User Content
• Sections of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Venture regarding the Service and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
